Terms & Conditions

These Terms & Conditions govern engagements with NovaAW Software LLC for fixed-price digital deliverables, technical advisory, and related engineering services.
Acceptance of terms
By purchasing services, submitting an inquiry, or otherwise engaging with NovaAW Software LLC, you agree to these terms and any written proposal, invoice, or service agreement issued for your engagement.
Services description
NovaAW Software LLC provides fixed-price digital deliverables including technical audits, MVP development, infrastructure setup, and engineering consulting. Deliverables, timelines, and communication expectations are defined in the applicable order confirmation, invoice, or written service agreement.
Payment terms
Payments are accepted via ACH or wire transfer only. Credit card payments are not processed through this site. Work may begin only after payment has cleared unless otherwise stated in writing.
Intellectual property
Upon full payment, the client owns the final deliverables created specifically for the engagement. NovaAW Software LLC retains ownership of its pre-existing tools, templates, internal frameworks, know-how, and reusable methods used to produce the work.
Confidentiality
Project information is handled confidentially. Mutual or client-provided NDAs are available upon request before work begins.
Limitation of liability
To the fullest extent permitted by law, total liability for any claim related to an engagement is limited to the amount actually paid by the client for that engagement. NovaAW Software LLC is not liable for indirect, incidental, special, or consequential damages.
Termination
Either party may terminate an engagement for material breach, non-payment, extended inactivity, or by mutual written agreement. Fees for completed work and approved expenses remain payable through the termination date.
Governing law
These terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules.
